Terms of Service

1. Service overview
The Bird Bath Terminal ("Terminal," "Service") is a veterinary practice data platform operated by First 100 Consulting LLC ("First 100," "we," "us"). The Service provides access to a database of U.S. veterinary practices, analytical tools, and related features through a subscription-based web application and may, in the future, include programmatic API access and integrations with third-party CRM and sales platforms.
2. Accounts and access
Access to the Terminal requires an invite code and account registration. You are responsible for maintaining the security of your account credentials. Each individual user must have their own account; sharing of credentials is not permitted. Workspace administrators (Pro and Enterprise tiers) may invite additional named seats under a single workspace billing relationship — each seat is one individual user.
We reserve the right to suspend or terminate accounts that violate these terms, exceed reasonable usage thresholds, or exhibit patterns consistent with bulk extraction of the dataset.
3. Subscription tiers and billing
The Service is offered in multiple tiers (Standard, Pro, Enterprise) with different feature sets, daily-record budgets, and seat capacities. Tier details and pricing are provided at the time of signup or upgrade. Billing cycles are annual unless otherwise agreed in writing. Workspace seats are billed per-seat per-cycle in addition to the workspace license.
Annual subscription fees are non-refundable. Monthly fees, where offered, are non-refundable for the current period. If we materially decrease feature availability or daily-record budgets during your paid term, we will pro-rate or refund the affected portion at our discretion.
4. Acceptable use
You agree to use the Terminal only for lawful business purposes. You may not:
- Scrape, crawl, or bulk-download data from the Terminal beyond your subscription's documented daily record budget. Systematic mirroring of the dataset, including via the API, the Chrome extension, the export function, or any other interface, is prohibited.
- Redistribute, resell, sublicense, or syndicate Terminal data to any third party. Exported data is licensed strictly for your internal business use.
- Build a competing product or database using Terminal data, in whole or in part, including but not limited to: training machine learning models on Terminal exports, populating a competitor's database, or providing Terminal data to a competitor as a service.
- Use automated tools (bots, scripts, scrapers, headless browsers, RPA platforms) to access the Service beyond its documented programmatic API.
- Reverse-engineer, decompile, or attempt to extract the underlying database, schema, source code, or proprietary analytical models.
- Circumvent or disable security controls, including rate limits, daily record budgets, audit logging, or watermarking.
- Use the Service to harass, spam, or send unsolicited communications to practices listed in the database in a manner that violates CAN-SPAM, TCPA, or other applicable laws.
- Share your login credentials or invite code with anyone outside your authorized workspace seats.
- Misrepresent your identity or affiliation when registering or using the Service.
5. Data accuracy & verification
Terminal data is compiled from public sources, state veterinary board records, practice websites, and proprietary research. While we strive for accuracy and continuously verify records, we do not guarantee that all practice information is complete, current, or error-free. Data should be verified independently before use in investment decisions, M&A transactions, regulatory filings, or other high-stakes decisions. The Terminal is an informational tool, not a substitute for professional due diligence.
6. Intellectual property
The Terminal database, analytics, software, design, branding, and all related content are the property of First 100 Consulting LLC and protected by copyright, trade secret, and other intellectual property laws. Your subscription grants a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription term. This license does not transfer ownership of any data or intellectual property and terminates immediately upon expiration or termination of your subscription.
7. Data export & watermarking
Pro and Enterprise tiers may export filtered practice data as CSV files, subject to monthly row quotas. All exports are watermarked with the user's identity, timestamp, and license terms in a footer block, and may include other traceability markers. Exports are licensed for your internal business use only and may not be redistributed, resold, syndicated, or used to build a competing product. We may, at our discretion and with reasonable notice, audit exported data found in third-party products to verify compliance with these terms.
8. Audit and inspection
You agree that we may, with reasonable notice (except in cases of suspected breach or active abuse), inspect your usage of the Service, including audit logs, export records, and patterns of API access. If we have reasonable grounds to believe you are violating Section 4 (Acceptable Use), we may immediately suspend your access pending review.
9. Ask Terminal (AI chat)
The Ask Terminal feature uses Anthropic's Claude AI to translate natural-language questions into database queries. Responses are generated programmatically and may contain errors. AI-generated summaries and analyses are provided for convenience and do not constitute professional advice. Your queries are sent to Anthropic for processing under their API terms; Anthropic does not train models on customer API data. Usage is subject to daily query limits based on your subscription tier.
10. Programmatic API and integrations (future)
If we offer programmatic API access or third-party integrations (CRM connectors, webhooks, etc.) in the future, your use of those features will be subject to additional terms specific to that surface, including separate rate limits, scoped API keys, and per-call billing where applicable. Integrations that move data out of the Terminal into a third-party system remain subject to Section 4 (no redistribution, no competing product).
11. Not a consumer reporting agency (FCRA)
The Bird Bath Terminal is not a consumer reporting agency as defined by the federal Fair Credit Reporting Act (FCRA), 15 U.S.C. § 1681 et seq., or any state equivalent. Terminal data is not a "consumer report" and may not be used:
- To establish a consumer's eligibility for credit, insurance, or employment
- To screen prospective employees, including individual veterinarians
- For tenant screening, government licensing decisions, or any other "permissible purpose" under the FCRA
- For any purpose that would qualify the data as a "consumer report" under federal or state law
Information about individual veterinarians (DVM names, license numbers, board certifications) is sourced from public state veterinary board records and is intended for practice-level commercial intelligence only — not individual evaluation. If you need to verify an individual veterinarian's credentials for an employment, credentialing, or regulatory decision, consult the relevant state veterinary board directly.
12. Veterinarian information & removal
Where the Terminal includes the name or license number of a licensed veterinarian, that information is sourced from publicly available state veterinary board records, practice websites, and similar public sources. If you are a licensed veterinarian and want your name or license information removed from a practice record, submit a request at /privacy/request (preferred — gives you a tracking ID) or email ryan@first100.io. We will respond within 45 days.
13. Estimated revenue and computed fields
The "estimated revenue" field and other computed values (e.g., inferred parent ownership, hiring signals) are model-generated estimates derived from public information and proprietary research. They are provided for general market-intelligence purposes only and do not constitute financial advice, valuation opinions, or representations about any specific practice's actual financial condition. Estimates may be inaccurate and should be independently verified before use in investment, M&A, or other material decisions.
14. Copyright and DMCA
The Bird Bath Terminal aggregates publicly available business information about U.S. veterinary practices. If you believe content within the Terminal infringes a copyright you own or control, send a notice that complies with the Digital Millennium Copyright Act (17 U.S.C. § 512) to our designated DMCA agent:

A valid DMCA notice must include: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material to be removed and its location on the Terminal; (d) your contact information; (e) a statement of good-faith belief that use of the material is not authorized; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner. We may forward valid notices to the alleged infringer and act in accordance with the DMCA's safe-harbor procedures.
15. Security incidents and breach notification
If we determine that a security incident has resulted in unauthorized access to your personal information, we will notify you by email at the address associated with your account within thirty (30) days of confirming the incident, except where law enforcement requests delay or where applicable law requires a different timeline. Notification will include the nature of the incident, the categories of information involved, and the steps we are taking to mitigate the incident.
16. Limitation of liability
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. First 100 Consulting LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including lost profits, lost data, or business interruption. Our total aggregate liability for any claim arising out of or relating to the Service shall not exceed the total amount you paid us in the twelve (12) months preceding the claim.
17. Indemnification
You agree to indemnify and hold harmless First 100 Consulting LLC, its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your violation of these terms, your misuse of Terminal data, or your violation of any law or third-party right in connection with your use of the Service.
18. Termination
We may suspend or terminate your access at any time for violations of these terms. You may cancel your subscription at any time; however, annual subscription fees are non-refundable. Upon termination, your access to the Service and any rights to use exported data will cease, and you must destroy any cached or exported Terminal data within 30 days.
19. Changes to terms
We may update these terms from time to time. Material changes will be communicated via email or in-app notification at least 14 days before they take effect, except where a shorter period is required by law. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.
20. Governing law & disputes
These terms are governed by the laws of the State of Texas, without regard to conflict of laws principles. Any dispute arising out of or relating to these terms or the Service shall be resolved exclusively in the state or federal courts located in Dallas County, Texas, and you consent to personal jurisdiction in those courts.
